The Fort Worth Library (Library) will use this Agreement to continue its digital newspaper subscription services from NewsBank, Inc., (NewsBank). NewsBank hosts and administers a proprietary website containing select years of the Fort Worth Star-Telegram, Houston Chronicle, Dallas Morning News, San Antonio Express, and other newspapers as well as historical newspapers and documents for genealogical research. Patrons with a valid Fort Worth library card can access these digital resources via the Library's website from anywhere in the United States. The Library has well-established systems and procedures for authorizing cardholders' remote access to its licensed online databases, e-books, and other digital content. Library patrons have quickly adapted to using these new formats, making them the fastest-growing service the Library offers. The Library's NewsBank databases receive over 40,000 searches annually. NewsBank is the sole distributor licensed to provide portions of the Library's electronic content, including select years of the Fort Worth Star-Telegram and the Texas Historical Archive. Because the information is available from only one source, NewsBank is a sole-source vendor pursuant to Texas Local Government Code 252.022(7) for these subscription services. A procurement from a vendor that is subject to section 252.022(7) of the Local Government Code is exempt from competitive bidding. PRICE ANALYSIS - The Library estimates that $150,000.00 will be spent for subscription costs for the first year. No guarantee was made that a specific amount of these products or services would be purchased. The Library Department certifies that the prices are fair and reasonable. AGREEMENT TERMS – Upon City Council's approval, the Agreement will begin July 1, 2017 and expire June 30, 2018. M/WBE - A waiver of the goal for MBE/SBE subcontracting requirements was requested by the Department and approved by the M/WBE Office, in accordance with the M/WBE or BDE Ordinance, because the M/WBE Waiver is solicited based on the sole source information provided to the M/WBE Office by the managing department's project manager. ADMINISTRATIVE CHANGE ORDER - An Administrative Change Order or increase may be made by the City Manager in an amount up to $50,000.00 and does not require specific City Council approval as long as sufficient funds have been appropriated. RENEWAL OPTIONS – This Agreement may be renewed for five additional one-year terms at the City's option. The annual subscription has a standard rate increase that shall not exceed 10 percent each year, provided NewsBank still offers service. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal term.
